Australian fashion retailer Cotton On Group is closing its regional arm, Cotton On Asia, after liquidators were appointed following shareholders’ approval of a resolution to wind up the business.
Cotton On Australia’s head office has confirmed with Inside Retail that the liquidated entity does not and has never operated any stores or employed team members.
“We have no plans to exit the Asia region,” the company said.
“It was an inactive holding company that was no longer required. This has no impact on customers, teams, stores, suppliers or operations within the Asia region.”
Government Gazette filings show the Singapore-based entity has entered creditors’ voluntary liquidation following an extraordinary general meeting at which members passed a special resolution under the Insolvency, Restructuring and Dissolution Act 2018.
The move reportedly forms part of a broader restructuring of the group’s corporate setup in Asia. While no detailed explanation has been disclosed, such actions are typically aimed at simplifying legal structures and improving operational efficiency across markets.
Cotton On made its debut in Singapore in 2007 and now offers a range of brands, including Cotton On, Cotton On Body, Cotton On Kids, Typo, and Rubi.
The privately held company was founded by Nigel Austin, who continues to control the business.
